In such circumstances, the procedural safeguards and mechanisms under BNSS—such as registration of FIR, investigation by competent authorities, summoning of accused persons, recording of evidence, and conduct of trial—become operative.
Further, the BNSS ensures that the rights of accused persons, complainants, and stakeholders are protected during criminal proceedings arising out of corporate non-compliance. It provides for due process, fair investigation, and judicial oversight, thereby ensuring that enforcement actions against corporate entities and their officers are carried out strictly in accordance with law.
In essence, ROC compliance constitutes a fundamental component of corporate governance, and any serious breach thereof may escalate from a regulatory default to a criminal offence, thereby invoking the procedural framework of BNSS for adjudication and enforcement.
